10003905 Canada Inc. (f/k/a Relogix Inc.) (the “Debtor”) is in the business of using state-of-the-art technology to provide companies with office workplace optimization analytics and insights.
On November 29, 2023, the Debtor filed with the Official Receiver a Notice of Intention to Make a Proposal to its creditors and named Dodick Landau Inc. as Proposal Trustee.
On December 8, 2023, the Ontario Superior Court of Justice (Bankruptcy) (the “Court”) granted an order which, among other things, approved the debtor in possession interim credit facility and a corresponding charge over the property of the Debtor.
On December 18, 2023, the Court granted an order, which among other things, increased the DIP Lender’s Charge, and (iii) extended the time to file a proposal up to and including February 12, 2024.
Prior to the commencement of the Proposal proceeding, the Debtor had taken marketing steps to widely canvass the market for a possible sale or investment transaction, including retaining the assistance of Proptech Bankers, an investment banking firm that specializes in property technology company and other real estate related businesses.
On January 8, 2024, the Court approved the sale of the Debtor’s assets to Hubstar Inc. and 1000752499 Ontario Inc. (the “Purchaser”) and made an order to vest in the Purchaser all of the Company’s right, title, benefit and interest in and to the Purchased Assets free and clear of all encumbrances and assigned certain agreements to the Purchaser.
As there were insufficient proceeds from the sale of the assets to the Purchaser to make a Proposal to the Debtor’s creditors, the Debtor was assigned by its director into bankruptcy on January 26, 2024 and the meeting of creditors took place on February 15, 2024.
